Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity, "you" or "your") and Callenx Cloud ("we," "us," or "our") concerning your access to and use of the Callenx Cloud platform and services (collectively, the "Services").

By accessing or using our Services, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Services.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

Eligibility and Account Registration

Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. By using the Services, you represent and warrant that you meet these eligibility requirements.

Account Creation

To access our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or security breach
  • Not share your account credentials with any third party

Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or failure to pay fees.

Services Description

Callenx Cloud provides a unified communication platform that includes, but is not limited to:

  • Voice Communication: Cloud-based phone system with call routing, recording, and voicemail
  • SMS Messaging: Text messaging services for business communication
  • Task Management: Tools for creating, organizing, and tracking tasks
  • Note Taking: Cloud-based note creation and management
  • Analytics and Reporting: Usage statistics and communication insights
  • Integrations: Connections with third-party applications and services

Our Services are powered by Twilio's communication infrastructure. We reserve the right to modify, update, or discontinue any features at any time with reasonable notice.

Acceptable Use Policy

You agree not to use the Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Send unsolicited communications (spam) or engage in phishing activities
  • Transmit malware, viruses, or any malicious code
  • Harass, threaten, defame, or defraud any person or entity
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Services or servers
  • Attempt to gain unauthorized access to any systems or accounts
  • Scrape, crawl, or harvest data from the Services without authorization
  • Use the Services for telemarketing without proper consent
  • Make false emergency calls or misuse emergency services
  • Engage in any fraudulent, illegal, or abusive activity
  • Reverse engineer, decompile, or disassemble any part of the Services

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account and potential legal action.

Fees and Payment

Subscription Fees

Access to certain Services requires payment of subscription fees as outlined in our pricing plans. Fees are billed in advance on a monthly or annual basis, depending on your selected plan.

Usage-Based Charges

Some features may incur additional usage-based charges, including but not limited to phone minutes, SMS messages, and data storage exceeding plan limits. These charges will be clearly disclosed and billed monthly.

Payment Terms

  • You authorize us to charge your payment method for all fees incurred
  • All fees are non-refundable except as required by law or explicitly stated
  • Prices are subject to change with 30 days' notice
  • Failed payments may result in service suspension
  • You are responsible for all taxes associated with your use of the Services

Free Trial

We may offer a 14-day free trial for new users. At the end of the trial period, your payment method will be automatically charged unless you cancel before the trial ends. Free trial eligibility is limited to one per customer.

Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No refunds will be provided for partial months or unused services, except as required by law.

Intellectual Property Rights

Our Rights

The Services, including all content, features, functionality, software, design elements, trademarks, and logos, are owned by Callenx Cloud or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

Your Rights

You retain all ownership rights to the content you create, upload, or transmit through the Services ("User Content"). By using the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely to provide and improve the Services.

Restrictions

You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission. You may not reverse engineer or attempt to extract source code from our software.

Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

We implement industry-standard security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security. You acknowledge and accept the inherent security risks of transmitting data over the Internet.

Third-Party Services and Integrations

Our Services may integrate with or contain links to third-party services, applications, and websites. We are not responsible for the content, privacy practices, or functionality of these third-party services. Your use of third-party services is subject to their respective terms and conditions.

Our Services utilize Twilio's communication infrastructure. By using our Services, you also agree to comply with Twilio's Acceptable Use Policy and Terms of Service.

Service Level Agreement (SLA)

We strive to maintain 99.99% uptime for our Services. However, the Services are provided "as is" and we do not guarantee uninterrupted or error-free operation. Scheduled maintenance will be announced in advance when possible.

We are not responsible for service interruptions caused by:

  • Factors beyond our reasonable control (force majeure)
  • Third-party service provider outages
  • Your equipment, network, or Internet connectivity issues
  • Actions or omissions by you or your users
  • Suspension or termination of your account

Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR COMMUNICATIONS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALLENX CLOUD AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify, defend, and hold harmless Callenx Cloud and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your use or misuse of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Content
  • Any negligence or willful misconduct by you

Dispute Resolution

Informal Resolution

Before filing a claim, you agree to contact us at support@callenx.cloud to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith within 60 days.

Arbitration

If informal resolution fails, any dispute arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in San Francisco, California, and judgment on the award may be entered in any court having jurisdiction.

Class Action Waiver

You agree that disputes will be resolved on an individual basis only and not as part of a class action or consolidated proceeding.

Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or violations of the Acceptable Use Policy.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the courts in San Francisco, California for any disputes not subject to arbitration.

International Use

The Services are controlled and operated from the United States. We make no representation that the Services are appropriate or available for use in other locations. If you access the Services from outside the United States, you are responsible for compliance with local laws.

Compliance with Laws

You agree to comply with all applicable laws and regulations, including but not limited to:

  • Telephone Consumer Protection Act (TCPA)
  • CAN-SPAM Act
  • General Data Protection Regulation (GDPR)
  • California Consumer Privacy Act (CCPA)
  • Export control laws
  • Anti-money laundering regulations

Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Callenx Cloud regarding the Services.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

Survival

Provisions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Acknowledgment: By using Callenx Cloud Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These Terms are effective as of November 1, 2025.
